Abstract

Governance refers to the set of rules, controls, policies, and resolutions established to guide corporate behavior. Corporate governance comprises balancing the interests of a company’s stakeholders, such as shareholders, senior management executives, customers, suppliers, financiers, the government, and the community. In the banking sector, it refers to the mechanism by which managers are selected, motivated, and held accountable. Good corporate governance principles aim to achieve strong and transparent risk management, promote public confidence, and uphold the safety and soundness of the banks. However, inconsistencies in key governance areas such as Board Effectiveness (BE), Audit Function (AF), Risk Management (RM), and Remuneration (R) continue to challenge stakeholder trust and compromise regulatory compliance. However, the Bank of Baroda, Union Bank, and Canara Bank demonstrated the highest governance performance, while others showed inconsistency. In light of the above, this paper evaluates key factors influencing governance practices and proposes strategies to strengthen regulatory adherence in Indian Public Sector Banks.
