- Abstract
With the transformation of global manufacturing industry to intelligence and the strategy of “Made in China 2025”, cross-border merge and acquisition (M&A) has become an important way for Chinese enterprises to acquire core technologies and realize industrial upgrading. This paper takes Midea Group’s M&A of KUKA, Germany as the research object, focusing on the motivation and performance of M&A. It is found that the core motivation of Midea’s acquisition of KUKA is to acquire the core technology of industrial robots and realize the strategic transformation of “intelligent manufacturing”, and the complementarity between the two sides in technology, market and supply chain lays the foundation for synergy. After the merger, Midea achieved significant scale expansion, with revenue and net profit increasing by 102.7% and 80.8% respectively, and the compound annual growth rate of R&D investment reached 14.5%, and the financial risk management and control achieved remarkable results. Compared with Haier Smart Home Co., Ltd (Haier). and Gree Electric Appliances (Gree), Midea’s profitability and anti-risk ability are stronger after the merger. This study provides a practical reference for cross-border M&A of traditional manufacturing enterprises in China.
