- Abstract
Effective corporate governance requires active risk management rather than mere structural compliance. Silicon Valley Bank experienced a catastrophic failure due to severe managerial blind spots and inadequate board oversight. This paper examines the collapse of Silicon Valley Bank as a prime example of institutional failure. The analysis evaluates how the absence of specialized risk leadership and passive board engagement led to the ultimate downfall of the organization. Recent literature emphasizes that risk committees must actively seek internal data to prevent severe operational crises. Based on these perspectives this study argues that simply having a risk committee is completely insufficient. Long term financial stability demands proactive risk assessment and specialized expertise. The case demonstrates that preventing a governance crisis requires integrating deep risk expertise with clear operational transparency.
