Abstract

A sole proprietorship is a new legal entity established with the aim of facilitating investment, strengthening MSMEs, and improving the quality of human resources (HR) in the workforce. It is a strategic step taken by the government to create job opportunities for the Indonesian people with the enactment of Law Number 11 of 2020 concerning Job Creation. This study aims to analyze the position of individual limited liability company as legal subjects in international transactions within the ASEAN region. The method used is normative juridical with a legislative and literature review approach. The results of the study show that the legal form of individual limited liability company in several ASEAN countries differs from that of single-owner businesses, which we have also known in Indonesia as sole proprietorships, which are certainly different from sole proprietorships. Sole proprietorships have been recognized by national law as legal entities that can conduct international transactions. However, this form of sole proprietorship cannot be used as a foreign investment instrument in Indonesia.
