Abstract

This article develops a legal model for modern and sustainable village/urban-village cooperatives, framed around the establishment and operationalization of Koperasi Desa/Kelurahan Merah Putih (KDKMP), with an explicit emphasis on financing mechanisms. The study interrogates how KDKMP financing that relies on HIMBARA plafon as regulated under Ministry of Finance Regulation No. 49 creates new regulatory, governance, and operational dynamics that diverge from the conventional cooperative financing architecture codified in Law No. 25 of 1992 — which foregrounds simpan pokok and simpan wajib (principal and mandatory savings). Employing a mixed legal methodology — doctrinal legal analysis, comparative regulatory review, semi-structured interviews with cooperative managers, HIMBARA bank officers and regulators, and scenario-based financial modeling — the research identifies legal frictions, liquidity and compliance risks, and cyber-legal vulnerabilities tied to digitized financing flows. Key findings indicate that dependence on HIMBARA plafon can enhance access to greater liquidity but raises issues of bank–cooperative contractual frameworks, custody/escrow arrangements, member protection, and data security. The paper proposes an integrated legal model combining: (1) diversified legal instruments for capital (member equity, community bonds, revolving funds); (2) clear regulatory pathways for HIMBARA-cooperative interoperability (including escrow/custody standards and supervisory reporting); (3) digital-first governance and KYC/data-protection rules aligned with cyberlaw principles; and (4) regulatory sandbox mechanisms to pilot fintech partnerships. The proposed model aims to reconcile financial scalability with cooperative principles and member protection, offering normative amendments and practical implementation steps for policymakers, regulators, and cooperative practitioners.
