- Abstract
Shares are evidence of capital deposit by shareholders in a PT which indicates ownership of a part of the company. If it results in a default, a resolution is necessary to prevent losses. The study was conducted to examine the legal regulations regarding shareholder rights and company obligations in the distribution of dividends according to Indonesian law, legal efforts in resolving disputes over default actions carried out by companies in the distribution of dividends to investors, and forms of legal protection for shareholders due to default actions carried out by companies in the distribution of dividends based on decision No. 2645 K / Pdt / 2020. The type of study is normative juridical with a descriptive analytical nature through literature studies. The findings indicate that the legal regulations regarding investor rights and company The responsibilities related to dividend distribution in Indonesia are outlined According to Law Number 40 of 2007 regarding Limited Liability Companies (PT). Legal efforts to resolve disputes over default actions carried out by companies in the distribution of dividends to investors to ensure legal safeguards and certainty for investors as injured party by demanding fulfillment of the agreement, cancellation or compensation.
