- Abstract
Against the backdrop of increasingly fierce technological competition, technology mergers and acquisitions (M&As) have become an important way for enterprises to quickly obtain innovative resources, but the integration process is accompanied by significant risks. Through literature review and case analysis, this article systematically explores the three core risks of technology mergers and acquisitions: the technical level, the organizational level and the cultural level. The study, by comparing the successful acquisitions of Instagram and WhatsApp by Facebook and the failed acquisition of MOTOROLA Mobility by Google, reveals the key factors of risk management - including the degree of strategic fit, the way of cultural integration and the importance of third-party collaboration. Meanwhile, this paper proposes a targeted risk management and offers some constructive suggestions, including emphasizing the practical value of IT due diligence, cross-functional team collaboration, and phased integration strategies, providing theoretical guidance and practical references for enterprises to balance risks and benefits in technology mergers and acquisitions.
